Non-Disclosure Agreement

Recipient shall make use of the information contained herein (the “Confidential Information”) only for personal purposes. Recipient shall not disclose, disseminate, or otherwise publish or communicate the Confidential Information to any person, firm, corporation or other third party without the prior written consent of Hudson Shipping Lines Incorporated (“Hudson”), except as required by law. Recipient agrees to use the highest degree of care in order to protect the Confidential Information from unauthorized disclosure. Recipient will promptly inform Hudson of any actual or suspected breach of confidentiality by it or a third party upon becoming aware of such actual or suspected breach and agrees to reasonably cooperate with the Hudson in the incident response process. Recipient acknowledges that disclosure or use of Confidential Information in violation these terms could cause irreparable harm to Hudson for which monetary damages may be difficult to ascertain or an inadequate remedy. Recipient therefore agrees that Hudson will have the right, in addition to its other rights and remedies, to seek and obtain injunctive relief for any violation of these terms.
